PASPARK TERMS OF SERVICE

1. Identification of the responsible party

This service is provided by LMnova OÜ, a limited liability company incorporated in Estonia (OÜ), with registration code 16740360, registered office at ST. nojffjasuv 89, and contact email support@paspark.com (hereinafter, “PasPark”, “we”, or the “Platform”).

For communications related to these Terms, notices about allegedly unlawful content, or other legal requirements, you may write to support@paspark.com.

2. What PasPark is

PasPark is a digital platform that allows users to (i) publish parking space availability (“Offerers”) and (ii) search for, reserve, and use such spaces (“Seekers”). PasPark does not own the listed spaces and does not itself provide parking services; it acts as a technological intermediary to facilitate reservation, communication, and payment.

Unless expressly stated in the app, the contract regarding use of the space (parking) is concluded directly between Offerer and Seeker. PasPark does not participate as a contracting party in that contract and does not physically control the spaces.

Private Offerers and professional Offerers may participate on the Platform. Where required by applicable regulations, we will display information on whether the Offerer declares that they act as a professional (“trader”) or as a private individual, and what this may imply for the relationship and the user’s rights.

Ranking and visibility: to display spaces and results, PasPark may use parameters such as proximity, availability, schedules, price, characteristics indicated by the Offerer, listing quality/completeness, incident history and ratings, and/or preferences and filters you choose in the app. Where options exist to influence ranking (for example, filters or map view), they will be available in the interface.

3. Acceptance and requirements

By creating an account or using PasPark, you accept these Terms and confirm that you have read and understood them. You must be at least 18 years old and have legal capacity to contract. You undertake to provide truthful information and keep it updated.

If you use PasPark as a consumer, you retain the mandatory rights granted by the applicable law at your habitual place of residence. Nothing in these Terms is intended to limit those rights.

4. Account, security, and proper use

You are responsible for activity carried out from your account and for keeping your credentials secure. You must notify us immediately of any unauthorized use.

You may not:

  • use the Platform for illegal or fraudulent purposes;
  • impersonate third parties or misrepresent your identity;
  • attempt to access systems or data without authorization, interfere with the security or operation of the Platform;
  • publish misleading, unlawful, defamatory, discriminatory, privacy-invasive content, or content that infringes third-party rights (including intellectual property);
  • artificially manipulate reviews, ratings, availability, or listing positioning;
  • use bots or unauthorized automated means to extract data (scraping) or carry out bulk actions.

PasPark may apply reasonable restrictions to content, listings, or accounts (for example, remove or limit the visibility of a listing, suspend, or close an account) when necessary to (i) comply with the law, (ii) enforce these Terms, or (iii) protect security, integrity, and fraud prevention. Where appropriate, we will notify the measure and the main reason, and we will provide a complaint channel.

5. Listing spaces (Offerers)

The Offerer undertakes to:

  • publish clear and accurate information (approximate location, schedules, conditions, access, vehicle size limitations, height restrictions, or other relevant limitations);
  • have the right to offer the space (ownership, lease, community/building authorization, etc.) and comply with applicable rules at the location;
  • keep the space available during the reserved period and not accept reservations if they reasonably cannot fulfill them;
  • provide access as listed, act in good faith, and respond diligently to reasonable incidents during the reservation;
  • truthfully declare whether they act as a professional (“trader”) or as a private individual, and keep this declaration updated;
  • comply with legal and tax obligations arising from their activity (for example, licenses, permits, VAT/taxes, and consumer information duties when acting as a professional);
  • provide PasPark with verification information that we may request (for example, identity, payment details, and, where applicable, registration/activity details), to comply with legal, security, and fraud prevention requirements.

When the Offerer acts as a professional and applicable regulations require it, PasPark may display professional identification information to Seekers (for example, name/company name and/or country), to reinforce marketplace transparency.

6. Reservations (Seekers)

The Seeker may reserve a space subject to availability. The exact address may be shown only after reservation confirmation to protect the privacy of the parties. The Seeker undertakes to respect schedules, conditions, and rules of the location, to use the space diligently, and not to exceed listed limitations (for example, vehicle size/height) when they exist.

7. Confirmation on arrival

To reduce incidents, PasPark may require arrival confirmation by proximity and/or verification code. The reservation may be considered completed when valid confirmation occurs or when the reserved period ends, whichever occurs first, as indicated in the app.

8. Payments, fees, and commissions

8.1. Amount: the Offerer sets the price. The Seeker will see the final total before confirmation (price + service fee, if applicable, and taxes where applicable).

8.2. Payment method: payment with balance (“Wallet”) and/or card or other available methods. The “Wallet”, unless otherwise indicated, reflects an internal balance (for example, refunds, credits, or promotions) usable within the Platform; it is non-transferable and may be subject to limitations for security and compliance reasons.

8.3. Payment processor: payments may be processed by external providers (e.g., Stripe) and will be subject to their terms.

8.4. Commission: PasPark may apply a commission/service fee. The commission applies only when the reservation is completed, unless otherwise indicated on the payment screen.

9. Cancellations, no-show, and refunds

9.1. Cancellation conditions (windows and possible charges) will be shown in the app during reservation, before payment, and form part of the contract.

9.2. Unless otherwise indicated, refunds will be made to balance (Wallet) or to the original method where possible.

9.3. The service fee may be non-refundable, except where applicable law provides otherwise.

9.4. In case of no-show or breach of schedules/conditions, the reservation may be considered fully or partially consumed.

9.5. Statutory consumer cancellation/withdrawal rights, where they exist, may be limited for certain services with a specific date or time or once performance has begun, according to applicable regulations. In any event, these Terms are not intended to exclude non-waivable rights.

10. Incidents and disputes

If an incident arises, the parties must try to resolve it in good faith using chat and/or support. PasPark may request minimum evidence (messages, confirmations, reasonable photos, etc.) and apply a reasonable solution in accordance with the current policy and applicable regulations.

If you consider that content (for example, a listing or message) is unlawful in a jurisdiction, you may notify PasPark at support@paspark.com, providing (i) the reason, (ii) the content location, and (iii) sufficient information so we can understand and assess the request. PasPark will review notices and may remove or restrict content where appropriate.

When a PasPark decision entails relevant restrictions on your content or account, you may submit a complaint through our support channels. In cases where applicable, you may also use out-of-court dispute resolution mechanisms available to consumers or, regarding content decisions, certified out-of-court dispute settlement bodies under digital services regulations.

11. Liability

11.1. PasPark does not guarantee continuous service availability and may perform maintenance. Interruptions or errors may occur due to technical causes or third parties.

11.2. Except to the extent required by law, PasPark is not liable for damages, theft, penalties, losses, or conflicts arising from use of a space listed by third parties, or from acts or omissions of the Offerer or the Seeker.

11.3. Nothing in these Terms limits or excludes (i) liability for death or personal injury caused by negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any other liability that cannot be limited by law. Likewise, nothing limits non-waivable consumer rights where applicable.

12. Intellectual property

PasPark’s trademark, software, design, and content belong to PasPark or its licensors. Unauthorized reproduction is prohibited.

Content you publish (for example, listing descriptions and photos) remains yours, but you grant us a worldwide, non-exclusive, royalty-free, transferable license to host, reproduce, adapt, and publicly communicate it for the purpose of operating, promoting, and improving the Platform (for example, showing the listing in searches or mapping approximate locations). We will remove content when you delete it or close the account, unless we must retain it for legal, security, or compliance reasons.

13. Amendments

We may update these Terms. We will notify you in the app or by reasonable means. Continued use after the update implies acceptance.

14. Governing law and jurisdiction

These Terms are governed by the law of Estonia. If you are a consumer, the mandatory courts and rules that apply under applicable law shall apply. Otherwise, the parties submit to the courts of Tallin.
